General Terms and Conditions
Kern Studer AG - ERGO-line Workstation Systems, Samstagern
All deliveries of our products are governed exclusively by the following Terms of Sale and Delivery. They are deemed accepted by the buyer unless the buyer objects immediately.
1. The Offer
Our offers are non-binding. We reserve the right to make product changes due to technical advancements. Listed prices, product images, and product descriptions are provided without guarantee. Delivery times, availability, and errors excepted.
2. Pricing
Unless stated otherwise, all prices are in CHF per unit, plus any material-related price adjustment surcharges. Statutory VAT is not included in the prices.
All prices are ex works and exclude packaging. Our packaging is limited to what is necessary. It is generally reusable or recyclable and marked with the appropriate symbols. Shipping costs are calculated based on value and weight and are shown accordingly during the ordering process.
Prices are subject to change. Therefore, the prices stated in our order confirmation— which may differ from the catalog, price lists, or our non-binding offer—are binding.
3. Payment
Unless otherwise stated in the order confirmation, our invoices are payable net within 30 days in CHF from the invoice date. Offsetting or withholding payments due to counterclaims that we dispute and that have not been finally established by a court is not permitted.
If the customer fails to meet this payment deadline, Kern Studer AG and/or the debt collection service provider is entitled to charge the customer additional costs for late payment without further notice.
If the customer falls behind on payment obligations, Kern Studer AG is entitled to suspend delivery of the goods until the outstanding balance has been paid in full.
4. Delivery Time
Most of our products are available "at short notice from stock". Otherwise, our delivery time information is non-binding guidance, as some of our products are manufactured to order or produced periodically. These delivery times apply from the date of our order confirmation. Delivery days are business days excluding Saturdays.
Delivered goods can be returned up to a maximum of 30 days from the delivery note date. Chemical and chemical-technical items, or goods that are not part of the Kern Studer AG product range, cannot be returned.
5. Shipping & Transport
Once we hand over the goods you ordered to the carrier (post, rail, parcel service, or freight forwarder), we have fulfilled our contractual obligations and the risk transfers to you. Please inspect the goods for damage upon receipt. If transport damage is found, please report it immediately to the responsible shipping company.
If it helps ensure fast processing and is economically sensible, we may ship partial deliveries—especially when delivery times for different products vary significantly—so you receive your goods as quickly as possible.
6. Retention of Title
Kern Studer AG remains the owner of the goods until full payment has been received for the delivered goods, including all ancillary costs incurred in connection with the delivery. As long as any outstanding claims remain unpaid, Kern Studer AG is entitled to register a retention of title for the delivered goods at the customer's expense.
7. Claims & Complaints
Obvious defects must be reported in writing within 14 days of receiving the goods; hidden defects must be reported in writing within 3 days of discovering the defect.
After prior arrangement, please return products with quality defects to us within 7 days—unused, in perfect condition, and in the original packaging—at your own expense.
8. Quality Warranty (Guarantee) and Liability for Damages
We provide a quality warranty on materials and workmanship for our products for a period of 12 months from delivery. If our sales documentation expressly states a longer quality warranty for specific products, that longer warranty period applies. In the event of a justified defect claim, we will, at our discretion, provide warranty service free of charge within the stated period by repair or replacement.
Further warranty and/or contractual claims for damages are excluded unless they are based on intent or gross negligence, a serious breach of essential contractual obligations, or expressly warranted characteristics confirmed in writing.
9. Place of Performance and Jurisdiction
The place of performance and jurisdiction is the registered office of Kern Studer AG.
10. Legal Validity
If individual provisions of these Terms of Sale and Delivery are invalid, this does not affect the validity of the remaining provisions or the validity of the legal transaction as a whole.
These terms and conditions and all contracts concluded on their basis are governed by substantive Swiss law.
